hmm, my exe's been topping out at 4 gigs without issues. Are you using FRAPS or anything else that might attach itself to the game process?

Well my TC also starts to go bananas after some hours of gameplay...lots of SETA 10 and flying thru many sectors. I have no idea what triggers it but it
then will consume all memory avail (4 GB .x64 vista) and then start to trash to harddisk like crazy.. When its in that state it will take about 5 minutes almost to QUIT the game and return to a functional desktop.

according to resource monitor the file is the x3 tc\ 03.dat file that has humongeos disk read access ...(something around 20 GB or such)

Quitting game and loading save and its gone until next time.

Sounds like a classic memory leak to me or not?

No, it's called cacheing. Many games do it as it's more efficient to let Windows handle virtual memory than for each game to do it separately. The difference is that the amount of memory that X3TC can actually use for its data is larger than most games. Have you tried 2.1 yet?

problem is on a 64-bit system, x3 can access 4 gigs of memory. As you only have 4 gigs of RAM, that means it ends up thrashing the page file before the game runs out of memory. If it were possible for you to keep playing, eventually the game would run out of memory... and then you could watch the game's memory usage drop like a stone as it flushed its cache out. Obviously the game is unplayable for you before you get to that stage.
